Reservation Program Agreement

Momo Homes is on a mission to transform the housing construction landscape, enhancing affordability through an innovative approach to mass-producing homes with technology-driven manufacturing. We specialize in customizable dwelling units, referred to as “Momo Homes ADU Units,” designed for delivery straight to our customers. Given the significant demand for our homes, availability is currently limited. To manage this, we’ve established a reservation program that secures your spot in line for a Momo Homes ADU Unit by requiring a modest reservation fee (the “Program”).

PLEASE READ CAREFULLY BEFORE CLICKING “AGREE” OR SIGNING

This Reservation Program Agreement (hereafter referred to as the “Agreement”) governs the terms under which you pay the Momo Homes ADU Unit reservation fee, or “Reservation Fee.” It’s critical that you understand the entirety of this Agreement, especially the key points highlighted below.

Program Overview:

  • Purpose: The Program offers you a prioritized opportunity to purchase a Momo Homes ADU Unit as they become available, against a Reservation Fee of $200 as per Section 1. You’re allowed to transfer your place in the queue by assigning this Agreement and your rights to a third party who meets the specified eligibility criteria, provided you inform us in writing about the transferee.
  • Clarifications about the Reservation Fee and Program:
    • The Reservation Fee is not part of any deposit, payment scheme, or financing for the Momo Homes ADU Unit and doesn’t secure pricing, which will be determined at the time of purchase.
    • This Agreement pertains only to your participation in the Program and does not constitute a commitment to purchase a Momo Homes ADU Unit. A separate purchase agreement will be made once your unit is ready for delivery.
    • The Reservation Fee is non-refundable except in specific circumstances outlined below.
    • While the Reservation Fee guarantees a prioritized purchase right, the Program does not operate on a strict first-come-first-served basis due to factors such as geographic location, order volume, requested features, regulatory approvals, etc.

Agreement Highlights:

  • Eligibility and Reservation: Participation requires being 18 or older, competent to contract, and not under U.S. sanctions or in an embargoed country. Accurate, up-to-date information is required for the reservation. The Reservation Fee is due in full at the time of agreement, with preferred payment methods including wire transfer or ACH, though major credit cards are accepted subject to an administrative fee.
  • Cancellation and Refund: You may cancel your participation at any time with written notice, as can we, with refunds provided under specific conditions. Otherwise, the Reservation Fee is non-refundable.
  • Purchase Process: Notification and a sales contract will be provided as your Momo Homes ADU Unit nears completion. Failure to sign may result in termination of your Program participation without a refund.
  • Term: The Agreement commences upon your acceptance and continues until cancellation or signing of the sales contract.
  • Disclaimer and Liability: Momo Homes makes no warranties beyond those explicitly stated, with liability limited to refunding the Reservation Fee under certain conditions.
  • Dispute Resolution: Disputes will be resolved through arbitration, with a specific waiver against class action participation.
  • Personal Data: Data collected will be used according to our privacy policy and, where applicable, our Customer Data Protection Addendum.
  • General Provisions: Governing laws, complete agreement stipulations, and survival of terms post-termination.

By clicking “AGREE,” you enter into a binding contract with Momo Homes and, if applicable, affirm your authority to bind the entity you represent. If you cannot accept these terms, do not proceed.

Momo Homes, referred to as “we,” “us,” or “our,” is Momo Homes Panama, S. DE R.L., located at Unit 104-105 Via Panamericana Panapark Free Zone 24 de Diciembre, Panama City 0801. “You” refers to the individual or entity agreeing to these terms.

END OF RESERVATION PROGRAM AGREEMENT
